Terms and Conditions
Between “us”/”we”/”our”, “Dental Rank”
and “You”.
You are hiring Dental Rank to implement our signature Dental Rank System into your practice for the estimated total price as outlined on our website at https://www.dentalrank.com.au/the-dental-rank-system at the time of you proceeding.
SERVICES RENDERED
1.1 THE DENTAL RANK SYSTEM, ONLINE PRACTICE GROWTH MARKETING STRATEGY & MANAGED SERVICES
We’ll deliver our Dental Rank System for a minimum period of 12 MONTHS or 24 MONTHS, whichever has been agreed upon in writing.
We can’t guarantee that our work will be error-free (we’re human!), so we can’t be liable to you or any third party for damages, including lost profits, lost savings, or other incidental, consequential or special damages, even if you’ve advised us of them.
1.2 WEBSITE MAINTENANCE (CARE PLAN)
Updates to your website are necessary for a successful Dental Rank System implementation. Such activities include but are not limited to creating new landing pages, and updating your website imagery or videos which You need to supply where required if not included in our campaigns – please check with your account manager beforehand) or location photos or adding/removing services. Any Content that is required to be approved to prevent delays on your project needs approval or changes advised within 48hrs otherwise, the update will be launched
1.3 WEBSITE DEVELOPMENT
Our WordPress Website Design & Development service has the following system requirements in order for the produced website to function correctly:
WordPress 5.0 Or Greater
Our websites work with WordPress version 5.0 or greater.
PHP 7 Or Greater
Note: If your site is hosted on a server with an older PHP, you may experience issues. We recommend you to contact your hosting provider to upgrade to the latest version of PHP. Our websites may also work with PHP 5.4+, but these older versions have reached official End Of Life and as such may expose your site to security vulnerabilities and bugs, and may not always work as expected. We also recommend all of the PHP modules as outlined by WordPress are available and enabled in your website hosting environment. All Dental Rank website hosting plans are compliant by default.
MySQL 5.6 Or Greater
MySQL version 5.6 or greater OR MariaDB version 10.0 or greater. All Dental Rank website hosting plans offer the latest MySQL and MariaDB versions shortly after they are released.
WP Memory Limit
WP Memory limit of 128 MB or greater (256 MB or higher is preferred). All Dental Rank website hosting plans come with a minimum of 4000 MB memory.
Browsers
Please note that you must use Chrome, Firefox, Safari, or Microsoft Edge version 79 or greater to be able to EDIT pages on our websites. You will not be able to edit with versions of Microsoft Edge which are earlier than version 79, nor can you edit with any version of Microsoft Internet Explorer as this browser has been retired. Microsoft’s newest versions of Edge (v. 79 and higher, which was first released in January, 2020) are based on Chromium (the same base as Google Chrome), so Microsoft’s new Edge is now fully capable of editing pages on our websites. Of course your website’s pages will display as designed in all modern browsers. Most features will display properly in IE, but because IE is an older browser, it is incapable of supporting some of the modern web technologies that our websites may utilize for some of its features. For that reason, our websites do not support IE anymore. Even Microsoft has stopped support for IE. If IE support is still critical for your particular circumstance, you may require custom development at an additional cost.
Device
It is not possible to edit with mobile phones and tablets for the moment. You will only be able to edit pages on desktop computers.
Known Issues With External Website Hosts
If your website is hosted by WP Engine, you might need to add SSL to your website to avoid saving issues. If your website is hosted by SiteGround or GoDaddy, make sure that they modify the SubstituteMaxLineLength of your server for you to ensure compatibility.
X-Frame Options
Your website hosting has to have X-Frame set to “same-origin” to avoid editing issues. Please ask your host to do this for you. All Dental Rank website hosting plans are compliant by default.
PHP Z-Lib Extension
It is preferable to have a PHP Zlib extension enabled on your website hosting. Please ask your host to enable this for you, if it is not. All Dogulin Management Group website hosting plans are compliant by default.
Screen Resolution
Our websites guarantee compatibility with the top 10 most popular screen resolutions: 1280 x 800, 1440 x 900, 1680 x 1050, 1024 x 768, 1366 x 768, 1280 x 1024, 1920 x 1080, 1920 x 1200, 2560 x 1440 and 1600 x 900. These resolutions typically cater to 87% of all visitors (based on an analysis of 100,000 visitors). Other screen resolutions are still likely to also render as intended but are not guaranteed.
1.4 GOOGLE ADWORDS
GOOGLE REPRESENTATIVES
There is a high probability that a Google representative will call You to review the account or point out “issues”.
The reason for them doing this is to make you spend more money on their platform. We require for your sake and ours, that when You receive such calls or emails to please redirect them to us to handle for you.
COMPETITOR AGENCIES
Like Google, competitor agencies will also try to call You advising issues with the account or offer a “free” or paid review of your account.
The reason competitor agencies will do this is to gather the intellectual property of the way we at Dental Rank achieve results to then make it their own or piggyback the results to disprove our strategy. Please redirect them to speak to us at Dental Rank.
3. DISALLOWING 3RD PARTY ACCESS AND ADMIN ACCESS
For the two reasons listed above, when we commence on your campaign, we at Dental Rank will downgrade your access to be read-only and remove nor allow 3rd party access to the account to ensure no changes can be made without our knowledge. One minor change can become catastrophic and kill the entire campaign. This also ensures our Intellectual Property and the success of your campaign with us.
1.5 BILLING SCHEDULE
We solely operate on an auto-debit facility and do not accept payment through invoice. This is to the best interest of both parties to ensure works are performed uninterrupted due to accounting issues. Any requests above and beyond those listed in the plans may be subject to our hourly rate of $150 per hour but will be agreed to in writing prior to work commencing. Campaigns that are unpaid for longer than 30 days will incur fees to retrieve costs and for work to resume which will be at our discretion.
CLIENT AGREEMENT TO PAY
An engagement commencement date will be agreed which is when the recurring debit schedule shall commence.
COLLECTION COSTS
In the event that we incur legal fees, costs, and disbursements in an effort to collect our invoices, in addition to interest on the unpaid balance, you agree to reimburse us for these expenses.
1.6 CANCELLATION
You upon signing this contract agrees to a minimum of 12 Months. If the realistic and attainable Goals and KPIs which have been set during the Initial Strategy meeting are not being met, we will mutually part ways and assist in all handovers. However, if the set goals and KPIs are being met, then we reserve the right to continue the contract or You can pay 3 months in full to cancel the contract. After the initial contract period, unless otherwise received in writing 60 days prior, the contract will renew for the same period.
1.7 REFERRALS
We grow only through the referrals we receive from our happy customers and partners.
It is not expected but should you feel we are doing a great job helping You achieve its digital marketing goals, we would be honoured if you introduce us to your fellow colleagues to help them achieve theirs! We love and appreciate referrals so much that we will give you a 25% appreciation discount on your following invoice
when any of your referrals turn into The Dental Rank System customers!
1.8 MUTUAL COOPERATION
We agree to use our best efforts to fulfil and exceed your expectation on the deliverables listed within this agreement. You agree to aid us in doing so by making available to us needed information pertaining to your brand and to cooperate with us in expediting the work.
Dental Rank’s RESPONSIBILITY FOR RELEASES
We shall obtain releases, licenses, permits, or other authorisation to use testimonials, copyrighted materials, photographs, artwork, or any other property or rights belonging to third parties obtained by us for use in performing services for you (If applicable).
You RESPONSIBILITY FOR RELEASES
You guarantee that all elements of text, images, or other artwork you provide are either owned by your good selves or that you have permission to use them. You’ll own the visual elements that we create for this project. You own all elements of text, images, and data you provided unless someone else owns them.
You RESPONSIBILITY FOR ACCURACY
You shall be responsible for the accuracy, completeness, and propriety of information concerning your products and services which you furnish to us verbally or in writing in connection with the performance of this Agreement.
Any Content that is required to be approved to prevent delays on your project needs approval or changes advised within 48hrs otherwise the content will be launched.
CONFIDENTIALITY
Dental Rank acknowledges its responsibility, both during and after the term of its appointment, to use all reasonable efforts to preserve the confidentiality of any proprietary or confidential information or data developed by Dental Rank on behalf of You.
